Service Activation Fee
The Client will pay a one-off, non-refundable activation fee to Domostaff. The activation fee is always due upon signing or accepting the service agreement. No additional charges are required until the Client approves or hires a Candidate.
Candidate Introduction
Domostaff will introduce potential Candidates (“Candidates”) for employment by the Client. The Client understands and acknowledges that Domostaff is an introduction service only and the decision whether to hire a particular Candidate is solely at the absolute discretion of the Client. The Client further acknowledges and agrees that if the Client hires a Candidate, the employment relationship will be directly and exclusively between the Client and the Candidate, and that Domostaff is not a party to any agreement between the Client and the Candidate. Client acknowledges that Domostaff has no control over the wages, hours or conditions of employment of Candidates. The work schedule, compensation, method, manner and means of employment and all other terms and conditions of employment shall be determined by Client and Candidate. Client further understands and acknowledges that Client is responsible for all wages, benefits, taxes, withholdings, employer-related worker's compensation insurance and all other obligations and requirements under applicable law .
Time Limits for Introduction
If Client does not choose to hire any of the initial Candidates introduced to Client by Domostaff, Domostaff will arrange for additional introductions to meet Client's needs as permitted by the
current market. Domostaff is obligated to introduce Candidates who meet Client's requirements in the quotation. Domostaff's obligation to introduce additional Candidates expires six months after receipt of an accepted service contract. Domostaff will have no further obligations towards the Client under this Introduction Agreement after the expiry of this six-month period if the Client has not shown any interest in all the candidates proposed in the six months.
The test 
Following an assignment by the Client, Domostaff will present selected service personnel based on the parameters indicated by the Client.
The Client may carry out tests of the proposed personnel for a maximum of 8 days.
The client, if the candidate is of interest to him and there are no time conditions, can decide not to carry out tests and to confirm - approve or even directly hire the candidate.
Following the test, whether this has been carried out or not, the client is required to inform Domostaff of the outcome of the same:
1. if the test of a maximum duration of 8 days has ended with a positive outcome, or in any case the candidate is to his liking, he approves the proposed candidate and Domostaff will be entitled to the service balance
2. if the test of a maximum duration of 8 days has had a negative outcome, therefore the client dismisses the proposed personnel, Domostaff will proceed to present additional candidates
3. if the client, following a test of a maximum duration of 8 days, retains in service the personnel proposed by Domostaff, the test will always be considered as having been successful and the personnel approved, consequently Domostaff will be entitled to the balance.
4. if the client approves the candidate, even without having carried out a test, Domostaff will
always be entitled to the balance.
5. if the client approves the candidate, but decides to hire him at a later date, this is still considered approved and therefore Domostaff is fully entitled to the service balance.
Service balance commission
If a Client chooses to approve a candidate, after having met him or even hired a Candidate, the Client undertakes to
confirm this immediately in writing and forward the payment of the service balance commission to Domostaff. Service balance commissions may vary, those are appropriate to the service provided. The service balance commission is always indicated in the offer that the client has received from Domostaff. 
The service balance is always due when a client has approved a candidate, whether he intends to proceed with his hiring or not, or whether he has hired him with deferred contractual effects.
Replacement guarantee
Domostaff provides a 90 calendar day guarantee in relation to a Candidate placed under this Agreement if: i) the Original Candidate is hired for a full-time position requiring twenty or more hours of work per week, and ii) the Replacement Candidate position is a full-time position requiring twenty or more hours of work per week. No replacement guarantee is offered when the Original Candidate is hired for a position offering less than twenty hours of work per week. In the event that the Original Candidate employed by Client must be replaced during the first night calendar days of employment with Client, regardless of the reason for the replacement, Domostaff will, until the expiration of the Replacement Period, submit additional Candidates to Client to replace the Original Candidate hired by Client. There will be no obligation to submit additional Candidates at the expiration of the Replacement Period. The Replacement Period expires 3 months after the hire date of the Original Candidate’s Start Date. Domostaff will honor its Replacement Guarantee only if it receives a signed Start Date Placement Agreement and full payment of the Placement Fee. The request for a Replacement Candidate must be made in writing to Domostaff and received by Domostaff within the 90-day Guarantee Period. In the event of a replacement request, Domostaff may agree, in its sole discretion, to honor a timely replacement request that allows the original Candidate to remain employed while a replacement Candidate is sought. If the original Candidate remains employed, Client agrees to respond to any proposed Replacement Candidate submissions no later than seven (7) calendar days after Domostaff forwards the Replacement Candidate information to Client. Failure to respond within seven (7) calendar days will void the Replacement Guarantee. Domostaff may, in its sole discretion, elect to terminate its obligation to find a replacement Candidate by: (i) notifying Client via email of its intent to terminate; and (ii) refunding Client any placement fees for the Candidate/Employee for whom a replacement Candidate is requested. The Replacement Guarantee will be void if Client (1) fails to pay all fees and charges to Domostaff in a timely manner; or (2) has materially changed the job duties or job description of the Candidates/Employees, or (3) has engaged in acts of harassment, abuse or moral turpitude; or (4) has failed to comply with any laws, regulations or rules relating to employment if the Candidate.
Candidate Verification
Domostaff will provide Client with Introduction of Candidate Profiles. If Client chooses to hire a Candidate, subject to satisfactory completion of background checks, Client will promptly confirm this in writing by forwarding to Domostaff an executed copy of the Start Date Agreement. At that time, subject to applicable law, Domostaff may agree, in its sole discretion, only when applicable law in the country permits in specific cases, to the completion of the following tests:
National criminal records search, possible only in certain cases and with authorized delegation 
National sexual and violent crime search, possible only in specific certifiable cases 
Drug screening tests, only with the consent of the candidate
Motor vehicle registration report for validity only, if driver's license is held.
Domostaff will charge Client for the costs of these tests.
If the results of any of these tests are positive and Client chooses not to hire the Candidate, Domostaff will introduce additional Candidates. It shall be the Client's sole responsibility to review these results and determine whether or not to employ a particular Candidate based on these results. Domostaff uses third-party vendors to perform all background checks and makes no representations or warranties regarding their testing reports or results.
Disclaimer and Indemnity
Client understands and acknowledges that Domostaff is not responsible for the actions, omissions, negligence, abuse or other conduct of a Candidate/Employee. Accordingly, Client, on behalf of himself, himself and on behalf of his children or minors or others for whom services are requested, and all other persons or entities with whom Candidate/Employee may interact, agrees to indemnify. Domostaff hereby indemnifies against any claim or cause of action, of whatever nature, that may be asserted based on the actions, omissions, negligence, wrongdoing, tort or other conduct of a Candidate/Employee. In addition, Client agrees to release and hold harmless Domostaff and its principals, employees, agents, representatives, officers and directors (the "Released Parties") from any action or cause of action arising out of or relating to the submission of a Candidate or the hiring of a Candidate, including but not limited to, any damages or injuries sustained as a result of Client's retaining the services of a Candidate prior to receiving the screening results. Domostaff assumes no responsibility for compliance with state laws regarding, but not limited to, employment, immigration, residency, insurance, tax or other legal requirements relating to a Candidate, all of which are the sole responsibility of Client and for which Client agrees to indemnify the Released Parties against any costs (including attorneys' fees), fines and penalties incurred as a result of Client's retaining the services of the Candidate.
Hiring of Candidate and Failure to Pay Balance
In the event that Client approves or otherwise hires a Candidate without payment of the Placement Fee, or refers any Candidate to any person or entity, and has failed to pay the invoice, Client will be in breach of this Service Agreement. In the event of such breach by Client, Domostaff will have the right to collect any amounts owed and otherwise enforce all of its rights against Client as set forth herein and as required by law. Domostaff will have no further obligations to Client under this Introductory Agreement in the event of Client’s breach. Client further acknowledges and agrees that if Client employs a Candidate referred to Client by Domostaff within one year of the original submission date, Client will be responsible for payment of the balance. Client further acknowledges and agrees that all files and information relating to Candidates referred by Domostaff are the sole property of Domostaff and will be held by Client in strict confidence. Client will not disclose to any third party the names, addresses or telephone numbers of any Candidates introduced to Client, or other information about Candidates provided by Domostaff, for any purpose other than in connection with Client’s hiring of the Candidate.
Costs, Legal Fees and Interest
Domostaff’s invoice must be paid in full within 7 days.
In the event Client fails to pay the balance in full within the required 7 days or Client otherwise breaches any other provision of this Introduction Agreement, Client acknowledges and agrees that it will be responsible for paying Domostaff all fees, costs and expenses, including filing fees and legal fees, incurred by Domostaff in connection with the enforcement of its rights under this Introduction Agreement or in collecting any Placement Fees. Domostaff will charge interest on any fees or portions thereof not paid when due. Interest will be calculated by multiplying the unpaid balance by the periodic fee of 300 euros per month. The unpaid balance will bear interest until paid in full.
Acceptance of the Service Contract
Headquarters, Competent Jurisdiction
Client agrees to the terms of this Service Agreement by both signing it and paying the activation fee. Client agrees that any action brought to enforce either party's rights or obligations under this Placement Introduction Agreement shall be brought exclusively in the Courts of Edinburgh in the United Kingdom and Client irrevocably consents to the personal jurisdiction of this Court over its person to determine the respective parties' rights under this Agreement. Client further agrees that service of process shall be effective by certified mail addressed to Client at the location indicated above and further agrees to be governed by the laws of the United Kingdom without regard to choice of law principles. For clients resident in Italy and duly managed by Massimiliano Ercolini registered in Italy, the Court of Livorno shall have jurisdiction.

By subscribing or even just paying the activation fee, the Customer acknowledges and accepts the contractual clauses.
